Terms of Service
The agreement governing your use of Poidex Cloud Services.

These Terms of Service ("Terms") constitute a binding agreement between you ("Customer", "you") and Poidex Labs LLC ("Poidex", "we", "us"), governing your access to and use of the Poidex Cloud Services GPU platform, website, API, and command-line tools (the "Services"). By creating an account or using the Services, you agree to be bound by these Terms.
1. Accounts & Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Services. You are responsible for maintaining the confidentiality of your account credentials and SSH keys, and for all activity under your account. Notify us immediately at [email protected] of any unauthorized use.
2. The Services
Poidex provides on-demand and interruptible GPU compute instances ("pods"). On-demand pods provide dedicated, non-interruptible capacity. Interruptible pods use spare capacity at a discount and may be reclaimed with a short graceful-shutdown warning. We do not guarantee that interruptible capacity will always be available.
3. Billing & Payment
- The Services use a prepaid balance model. You deposit funds, and charges are metered per second while a pod is running or a storage volume is provisioned.
- Rates are published on our pricing page and may change with notice. Charges already incurred are not affected by future rate changes.
- You are responsible for stopping or terminating pods you no longer need. Idle running pods continue to incur charges.
- Payments are processed by PCI-DSS compliant third-party providers. Poidex does not store raw card numbers.
4. Acceptable Use Policy
You agree to use the Services only for lawful purposes and in compliance with all applicable laws and regulations. The following activities are strictly prohibited and will result in immediate suspension and permanent account termination without refund:
Strictly prohibited activities
- Cryptocurrency mining of any kind, including mining, minting, or validating digital currencies or tokens.
- Malware hosting or distribution, including viruses, ransomware, trojans, spyware, or any malicious code.
- Phishing, fraud, identity theft, or any deceptive scheme intended to obtain data or funds unlawfully.
- DDoS attacks, network flooding, port scanning, intrusion attempts, or unauthorized access to third-party systems.
- Hosting or distributing child sexual abuse material (CSAM) or any other illegal content.
- Spamming, unsolicited bulk messaging, or operating botnets and command-and-control infrastructure.
- Infringing the intellectual property rights of others or violating export-control and sanctions laws.
Violation of this Acceptable Use Policy results in an immediate account ban without refund of any remaining balance, and Poidex reserves the right to report unlawful activity to the appropriate authorities. We may investigate suspected violations and cooperate with law-enforcement requests.
5. Customer Responsibilities
- You retain ownership of the data, models, and code you place on your pods, and are solely responsible for them.
- You are responsible for backing up your data; terminating a pod or volume permanently deletes its contents.
- You must not attempt to circumvent resource limits, metering, security controls, or these Terms.
6. Refund Policy
We want you to be confident in the Services. Our refund terms are as follows:
- 14-day money-back guarantee: if you are not satisfied, you may request a refund of your unused prepaid balance within 14 days of your deposit.
- Remaining balance refunds: you may request a refund of any remaining, unused prepaid balance at any time. Funds already consumed by running pods or provisioned storage are non-refundable.
- Refunds are issued to the original payment method within 5–10 business days of approval.
- Accounts terminated for violation of the Acceptable Use Policy are not eligible for any refund.

7. Service Availability
We target high availability but do not guarantee uninterrupted service. The Services are provided on an "as is" and "as available" basis. Scheduled maintenance, hardware failure, or interruptible-capacity reclamation may temporarily affect availability.
8. Suspension & Termination
We may suspend or terminate your access immediately if you violate these Terms, the Acceptable Use Policy, or applicable law, or if your prepaid balance is exhausted. You may close your account at any time; upon closure, any eligible remaining balance may be refunded in accordance with Section 6.
9. Limitation of Liability
To the maximum extent permitted by law, Poidex shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or revenue, arising from your use of the Services. Our total aggregate liability shall not exceed the amount you paid to us in the three (3) months preceding the claim.
10. Disclaimer of Warranties
The Services are provided without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
11. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via the website or by email. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
12. Governing Law
These Terms are governed by the laws of the State of California, USA, without regard to its conflict-of-laws principles. Any disputes shall be resolved in the state or federal courts located in San Francisco, California.
